Ohio Deal Portal – Terms of Service

Effective Date: November 16, 2025

By accessing or using Ohio Deal Portal (“ODP”), a brand and business of Little Hellos LLC, an Ohio limited liability company, including its website (www.ohiodealportal.com), mobile application, newsletters, briefings, database, or related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, do not use the Service.

1. Service Description

Ohio Deal Portal (“ODP”), created and operated by Little Hellos LLC, aggregates public information, founder-submitted data, and analyst observations about Ohio-connected startups, investors, organizations, and related activity. The Service provides profiles, briefings, newsletters, directories, analytics, commentary, and other content (“Content”) for informational and educational purposes.

ODP does not provide financial, legal, or investment advice and does not solicit, endorse, or recommend any security, transaction, opportunity, or company.

2. User Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements. By using the Service, you represent and warrant that you meet these requirements.

3. Content Ownership, Copyright, and Permitted Use

All Content on the Service—including text, data, graphics, analysis, summaries, commentary, profiles, and briefings—is owned by Little Hellos LLC or its licensors and is protected by copyright and other intellectual property laws.

You may:
  • Use the Content for personal, non-commercial purposes.
  • Share publicly available ODP links with attribution.
You may NOT:
  • Copy, redistribute, scrape, harvest, automate access to, or reproduce Content without prior written permission.
  • Create derivative works, databases, AI models, or commercial products based on ODP Content.
  • Misrepresent ODP data, origins, or affiliations.

All rights not expressly granted are reserved.

4. Founder Submissions & User-Provided Information

If you submit information to ODP (including startup profiles, metrics, data, updates, pitch decks, or membership information):

You represent and warrant that:

  • All information provided is accurate, current, and submitted in good faith.
  • You own the rights to submit the information.
  • You are not submitting confidential material unless you explicitly designate it as confidential and Little Hellos LLC agrees in writing to accept it.

You grant to Little Hellos LLC:

  • A worldwide, non-exclusive, royalty-free license to use, summarize, reference, display, or publish your submitted information.
  • The right to use aggregated or anonymized data for editorial, analytical, research, or reporting purposes.

Little Hellos LLC does not guarantee publication or promotion of any submitted profile. Inclusion and presentation are at the sole discretion of ODP.

5. Data Accuracy & Forward-Looking Statements

ODP aggregates a combination of public, estimated, founder-submitted, and third-party data. Information may be incomplete, unaudited, or subject to change.

ODP makes no warranty as to:

  • Accuracy
  • Completeness
  • Timeliness
  • Reliability

The Service may include forward-looking statements, projections, or interpretations. These are inherently uncertain and not guarantees of future performance. Past performance does not predict future outcomes.

6. Conflicts of Interest

Little Hellos LLC contributors or affiliates may occasionally hold advisory roles, consulting engagements, or financial interests in companies listed on ODP.

Such relationships:

  • Do not influence inclusion, exclusion, or portrayal of companies
  • Are not endorsements
  • Do not imply recommendation

Inclusion ≠ endorsement.
Exclusion ≠ negative judgment.

7. User Responsibilities

Account Security

We do not have user accounts. Forms submitted by founders are used to build out the content on ODP.

Prohibited Conduct

You agree not to:

  • Misuse or reverse-engineer the Service and Content
  • Scrape or automate access to ODP
  • Submit misleading, false, or harmful information
  • Violate applicable laws
  • Attempt unauthorized access or interference

Little Hellos LLC may investigate and pursue violations to the fullest extent permitted by law.

8. Membership Program

If you join the ODP, you agree to:

  • Provide accurate information
  • Maintain confidentiality of member-only briefings if applicable
  • Make independent decisions based on provided Content

Membership offerings may change at any time.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. LITTLE HELLOS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, TIMELY, OR UNINTERRUPTED.

Use of the Service is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law:

Little Hellos LLC and its affiliates shall not be liable for:

  • Any direct, indirect, incidental, special, consequential, punitive, or exemplary damages
  • Loss of profits, data, reputation, or business opportunities
  • Any reliance placed on ODP Content

Your sole remedy for dissatisfaction with the Service is to stop using it.

11. Termination

Little Hellos LLC may suspend or terminate access to the Service (including membership) at any time, for any reason, including misuse or violation of these Terms.

You may stop using the Service at any time.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Any disputes must be resolved exclusively in the state or federal courts.

13. Changes to These Terms

Little Hellos LLC may modify these Terms at any time. Significant changes may be posted on the Service or sent via email.
Continued use of the Service after changes constitutes acceptance.

14. Privacy

ODP does not sell personal information.
Data may be used for analytics, performance insights, aggregated reporting, or communication solely-related and for usage for ODP.
